These Terms & Conditions ("Terms") govern your access to and use of My CMS and its related websites, applications and services (the "Services"), available at suozziforny.com. 1. Who we are and what we provide
My CMS is a technology platform that lets users publish content, build pages and reach an audience. We provide the infrastructure only — we are not the publisher, editor or author of user content, and we do not endorse or verify the legality of content created by users.
2. Eligibility and accounts
You must have the legal capacity to enter into these Terms and must provide accurate, complete registration information. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us promptly of any unauthorised use. We may refuse, suspend or require verification of any account to prevent fraud or comply with the law.
3. Acceptable use
You agree to use the Services lawfully and in accordance with these Terms and our Content Policy and Trust & Safety Policy. You must not: violate any law; upload malware or attempt to breach, probe or disrupt the Services; scrape or harvest data without permission; impersonate others; send spam; infringe intellectual property or privacy rights; or use the Services to develop a competing product.
4. Your content
You retain ownership of the content you create and warrant that you hold all rights necessary to publish it. You grant My CMS a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, process and display your content solely to operate and provide the Services. You are solely responsible for your content and its consequences.
5. AI-generated content
Where the Services offer AI features, outputs may be inaccurate, incomplete or infringe third-party rights. You are responsible for reviewing and verifying any AI-generated content before you publish or rely on it.
6. Our rights
We may add, modify, suspend or discontinue features; monitor use through automated or manual means; and review, restrict, hide or remove content we reasonably believe violates these Terms, the law or third-party rights. A failure to detect or act on a violation is not a waiver of our rights.
7. Intellectual property
All rights in the Services — software, design, trademarks and content we provide — remain the property of My CMS or its licensors. You receive a limited, non-exclusive, non-transferable licence to use the Services as permitted here. You may not copy, reverse engineer, or remove any proprietary notices.
8. Paid services, fees and refunds
Some features are paid. You agree to the pricing and billing terms presented at purchase. Subscriptions may renew automatically unless cancelled before renewal. Except where required by law, fees are non-refundable, including for unused time. We may change pricing prospectively; continued use after a change constitutes acceptance.
9. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind. We do not warrant that the Services will be uninterrupted, error-free or that any particular result — such as traffic, revenue or rankings — will be achieved. You are responsible for maintaining your own backups.
10. Limitation of liability
To the maximum extent permitted by law, My CMS is not liable for indirect, incidental, special or consequential damages, or for lost profits, data or goodwill. Our total liability for any claim is limited to the amount you paid us in the twelve months before the event giving rise to the claim.
11. Indemnification
You agree to defend and indemnify My CMS against claims, losses and expenses arising from your content, your use of the Services, your violation of these Terms or the law, or your infringement of third-party rights.
12. Termination
You may stop using the Services at any time. We may suspend or terminate your access, with or without notice, for a violation of these Terms, unlawful activity, fraud, security risk or non-payment. On termination, your licence to use the Services ends and your content may be deleted in accordance with our policies and applicable law.
13. Governing law and disputes
These Terms are governed by the laws of the jurisdiction in which the operator of My CMS is established, without regard to conflict-of-law rules. The parties will first attempt to resolve any dispute in good faith; unresolved disputes will be submitted to the competent courts or arbitration of that jurisdiction.
14. Changes to these Terms
We may update these Terms from time to time. Material changes take effect on publication at suozziforny.com. Your continued use of the Services after a change constitutes acceptance of the revised Terms.
